About the position

Atomic is a venture studio that founds and funds companies, bringing together ideas, capital, resources, and talent to partner with co-founders in building great companies. As a Paralegal, you will play a crucial role in supporting entrepreneurs throughout their growth journey, from the initial company formation process to securing outside investments. This position requires a process-driven approach to maintaining and organizing company records, while also providing an opportunity to learn about corporate governance and company capitalization. Working at Atomic offers a unique experience, as you will have the chance to work across a diverse portfolio of companies while being an integral part of the internal team, combining the best aspects of both a law firm and a corporate environment. In this role, you will coordinate corporate approvals, draft resolutions and consents, and facilitate corporate governance and housekeeping matters. You will maintain cap tables for each portfolio company using equity management tools like Carta, administer stock plans, and handle various corporate housekeeping tasks such as document filing and data organization. Additionally, you will assist with contract reviews and coordinate with outside counsel, maintaining and reviewing NDA forms, employment agreements, and other legal templates. This position also involves project management responsibilities across various initiatives, and you will have the opportunity to shadow attorneys, founders, and other Atomic insiders to gain insights into early-stage startups and venture capital.

Responsibilities

  • Coordinate corporate approvals, including drafting resolutions and consents.
  • Facilitate corporate governance and other corporate housekeeping matters.
  • Maintain the cap tables for each portfolio company using equity management tools (Carta).
  • Administer stock plans, including grant issuances and assisting with option exercises.
  • Handle corporate housekeeping tasks, including document filing, data organization, and tracking of documents.
  • Assist with contract review and coordination with outside counsel, including maintaining and reviewing NDA forms, employment agreements, and other legal templates.
  • Manage project responsibilities across various initiatives.
  • Shadow attorneys, founders, and other Atomic insiders to learn more about early-stage startups and venture capital.

Requirements

  • 1+ years of relevant experience at a law firm or in-house.
  • Extremely high attention to detail in a rapidly changing environment.
  • Unmatched planning, organizational, and time management skills.
  • Excellent written and verbal communication skills and interpersonal skills.
  • Highly motivated, proactive, and willing to take initiative on day-to-day tasks and new challenges.
  • Ability to work effectively in a fast-paced environment.
  • Experience fielding a wide variety of questions about equity.
  • Experience using tools like Carta, Airtable, and DocuSign is a plus.
