About the position

The Paralegal will support the commercial, clinical, and corporate activities of the Hemostasis and Acute Care Diagnostics business unit at Werfen. This role involves contract review, negotiation, and analysis, ensuring alignment with corporate strategy and goals. The Paralegal will report to the Assistant General Counsel and collaborate with internal business partners and external parties.

Responsibilities

• Support the Legal team with respect to contract administration including reviewing, drafting, redlining, and negotiating terms and conditions in various agreements.
• Assist with reviewing, drafting and filing documentation for corporate governance matters, including board and stockholders consents/minutes, secretary and officer certificates, letters of authorization, and powers of attorney.
• Ensure agreements and other related documents are executed and maintained properly per Werfen practices, policies and procedures.
• Identify opportunities and lead or support project initiatives for process improvement that contribute to the efficiency and effectiveness of the overall contracting process.
• Exhibit and uphold the Werfen values of honesty, humility, respect, trustworthiness, credibility, openness, reliability, listening to others, and building trustworthy relationships.
• Perform other duties as requested by the Legal department.

Requirements

• Bachelor's Degree or paralegal certification with 3+ years of professional experience, ideally in the medical device, diagnostics, or healthcare industry.
• Registered notary public or willingness to obtain a notary certification.
• Experience in management of corporate books and records.

• Prior experience engaging in internal operations projects (e.g., template development, document management).
