About the position

Natus Medical Incorporated (“Natus”) is currently undergoing a significant transition as it separates its business into two distinct entities: the Neuro and the Sensory Divisions. Each division will focus on a separate product line and segment within the medical device industry. As part of this transition, Natus has a substantial number of contracts that need to be reassigned from one entity to the other. This process will involve drafting, distributing, and tracking various legal documents, including notices, consents, amendments, and updated contracts. In the role of Paralegal, you will be instrumental in managing these tasks. Your responsibilities will include drafting and sending out the necessary documents, tracking their distribution, and confirming receipt from third parties. You will also handle inquiries related to these documents and collaborate closely with the General Counsel and other team members to address any unique situations that may arise, requiring tailored agreements or modifications. Additionally, you will participate in video calls with the Separation Management Office and other departments to refine the scope of work and monitor the status of notices and consents. This position is expected to require full-time commitment (40 hours per week) until early October 2024, after which the hours will be reduced to approximately 20 hours per week until the end of November 2024, and then further reduced to about 10 hours per week through the first quarter of 2025 or as needed.

Responsibilities

  • Draft, print, send/email notices, consents, amendments, or updated contracts.
  • Track distribution of the aforementioned documents and confirmations from third parties.
  • Handle inquiries from third parties regarding the documents distributed.
  • Collaborate with the General Counsel and others to address unique situations requiring modified agreements.
  • Attend video calls with the Separation Management Office and other departments to refine the scope of work and track statuses of notices and consents.
  • Perform other related duties as reasonably agreed.

Requirements

  • Bachelor's degree from a four-year college or university; or five years of related experience and/or training in transactions or contract law.
  • Preferred degree concentration in paralegal or legal studies.
  • Working experience in a law firm or corporation in contracting or corporate work is preferred.
  • Proven experience working independently with third parties in creating and modifying contracts.
  • Strong communication and interpersonal skills with a talent for building relationships across various organizational levels.
  • Excellent organizational and project management abilities.
  • Proficiency in problem-solving and negotiation.
