About the position

As a Paralegal at Constellation, you will work within the Office of Corporate Governance (OCG) on a variety of corporate governance matters. Your primary responsibilities will include organizing and managing Constellation board meetings, assisting with the drafting and distribution of confidential meeting materials, and serving as a liaison between senior executives and the board of directors. This role is crucial in ensuring that all board-related functions are executed smoothly and efficiently. You will also assist team members with other OCG responsibilities, which may include entity management, shareholder services, annual meeting preparation, and director compensation. In this position, you will proactively partner with OCG team members on all planning aspects for board meetings and other director-attended events. This includes the development and distribution of meeting materials using the Diligent Boards portal, coordinating with the Senior Executive Board Liaison and Corporate Security for attendance and transportation issues, and providing on-site logistical and administrative support as needed. You will also communicate directly with board members, executives, and staff regarding scheduling and attendance at board events and Constellation-sponsored activities, as well as assist with board portal usage. Additionally, you will directly assist attorneys by conducting research, extracting information from records and documents, and maintaining internal databases. Managing relationships with vendors supplying products and services to OCG and the boards will also be part of your responsibilities, ensuring that catering, supplies, reproduction of meeting materials, and delivery services are handled effectively.

Requirements

  • A minimum of 4 years related professional-level experience.
  • Proficiency in using board portal programs and Microsoft Office Suite products.
  • Strong written and oral communication skills at a professional level.
  • Interpersonal and team-oriented skills to achieve OCG team goals.
  • Ability to multi-task, prioritize, and consistently meet deadlines.
  • Willingness to accept increased responsibilities and work in a demanding environment.
  • Willingness to work overtime to accomplish OCG team goals.
