About the position

The Real Estate Paralegal at Macerich plays a crucial role in supporting the legal team by providing a wide range of paralegal and managerial functions specifically tailored to real estate transactions. This full-time position is based in the Santa Monica Corporate Office and operates on a hybrid schedule, requiring three days in the office and two days of remote work. The paralegal will assist the Company's legal real estate transactional attorneys by reviewing existing leases, REAs, and other documents, preparing schedules and exhibits for pad sales and anchor lease transactions, and performing due diligence reviews of leases and REAs. This includes interpreting various rights and obligations within the documents, such as relocation rights, repair obligations, and co-tenancy obligations, and providing written assessments based on these reviews. In addition to document review and due diligence, the paralegal will draft legal documents including template REA and anchor lease amendments, purchase and sale agreements, and CC&Rs. They will also manage critical dates and deadlines for anchor projects, coordinate the process of obtaining title information, and handle inquiries regarding property ownership. The role requires meticulous organization and management of documentation for large transactions, including the preparation of closing documents and transaction summaries. The paralegal will also be responsible for handling escrow transactions and managing the preparation and review of estoppel certificates and other development-related agreements. The ideal candidate will have a paralegal certificate from an ABA-approved school, a bachelor's degree (preferred but not required), and at least three years of experience as a real estate paralegal, preferably with substantial title and survey expertise. Excellent computer skills, including proficiency in Microsoft Office, Adobe Acrobat, and iManage, are essential for success in this role. Responsibilities

  • Review existing leases, REAs, and other documents for exclusives and prohibited uses/use restrictions.
  • Perform due diligence reviews of leases and REAs, interpreting various rights and obligations.
  • Draft template REA and anchor lease amendments, purchase and sale agreements, and CC&Rs.
  • Prepare critical dates charts for anchor projects and manage deadlines for ongoing projects.
  • Manage the process for obtaining title information, including placing title orders and resolving title issues.
  • Research property ownership and confirm fee and leasehold property ownership.
  • Prepare due diligence lists and assist asset management with buyer inquiries.
  • Coordinate execution and delivery of documents for large transactions and prepare transaction summaries.
  • Handle escrow transactions for pad/outparcel/excess land sales and prepare closing documents.
  • Manage the preparation and review of estoppel certificates and related agreements.

Requirements

  • Paralegal certificate from an ABA approved school is required.
  • Bachelor's degree preferred but not required.
  • 3+ years of law firm and/or in-house experience as a real estate paralegal required.
  • Substantial title and survey expertise preferred.
  • Excellent computer skills including MS Office, Adobe Acrobat, iManage, Workshare, and Redline.

Nice-to-haves

  • Notary Public certification or willingness to become a notary.
