About the position

The Securities and Governance Counsel and Assistant Corporate Secretary is responsible for overseeing corporate governance and securities law compliance, providing legal counsel to the executive leadership team and the board of directors. This role requires a deep understanding of legal and regulatory requirements, corporate governance trends, and extensive experience in managing corporate secretary functions for a publicly traded company.

Responsibilities

  • Support the development and implementation of best practices in corporate governance, ensuring compliance with applicable laws, regulations, and NYSE listing requirements.
  • Provide guidance on corporate governance matters, board composition, and committee structures.
  • Prepare and distribute materials for board and committee meetings, draft resolutions, manage communications, and record meeting minutes.
  • Coordinate with senior executives and board members for effective communication and follow-up on board actions.
  • Provide legal advice on SEC filings (10-K, 10-Q, 8-K), stockholder proposals, executive compensation disclosures, and other securities regulatory compliance matters.
  • Lead the preparation and filing of the proxy statement, including data assembly and disclosures.
  • Support the preparation of the annual social impact and sustainability report and related disclosures.
  • Manage the day-to-day operations of the Corporate Secretary's office, ensuring compliance with legal and regulatory requirements.
  • Collaborate with Investor Relations and other departments to develop strategies for effective stockholder communications and engagement.
  • Support disclosure matters, including review of press releases, with legal advice.

Requirements

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the bar in New York.
  • Minimum of 12 years of experience practicing law, focusing on securities laws and corporate governance.
  • Comprehensive knowledge of corporate governance principles, practices, and regulations.
  • Experience advising boards of directors and executive management on governance matters.
  • Strong understanding of securities laws associated with period reporting and insider trading.
  • Proven track record in supporting or managing corporate secretary functions for a publicly traded company.
