About the position

The Securities Paralegal at Comerica is a pivotal role that involves a variety of responsibilities centered around compliance with SEC regulations and corporate governance. This position requires a thorough understanding of public communications and regulatory filings, ensuring that all documentation adheres to SEC rules, NYSE rules, and state requirements. The paralegal will be instrumental in drafting and reviewing disclosures, compiling and analyzing information, and assisting in-house securities counsel in their efforts to maintain clear and persuasive communication. Key tasks include preparing Section 16 filings for executive officers and the Board of Directors, proxy statements, and SEC periodical reports. The paralegal will also engage in the preparation of corporate governance documents, which are essential for maintaining the integrity and transparency of the company's operations. This role demands a high level of attention to detail and the ability to manage complex legal and business issues effectively. In addition to these responsibilities, the Securities Paralegal will assist attorneys in debt and equity securities offerings and play a significant role in the annual meeting process. The position requires collaboration with various stakeholders to compile, analyze, draft, and review information from multiple sources, ensuring that all disclosures are accurate and compliant with legal standards. Overall, this role is crucial for supporting the legal team and ensuring that Comerica meets its regulatory obligations while fostering a culture of compliance and transparency.

Responsibilities

  • Assist attorneys in the preparation of SEC filings, such as proxy statements, Form 8-K, Form 10-K, Form 10-Q and Section 16 documentation (Forms 3, 4 and 5).
  • Assist attorneys in debt and equity securities offerings.
  • Involvement in the annual meeting process.
  • Compile, analyze, draft, review, and otherwise manage information from various sources for purposes of assisting attorneys in disclosure-related issues, e.g., stock ownership data and director and officer questionnaires.
  • Assist attorneys in the preparation of corporate governance documents (policies, charters, etc.).
  • Research, analyze and document complex legal and business issues at attorney request and direction.
  • Assist attorneys in the corporate secretary function, including the preparation of minutes, resolutions and other materials for boards of directors.
  • Other duties and tasks as assigned.

Requirements

  • 6 years of experience assisting attorneys in preparing SEC filings at a public company, including Section 16 filings and proxy statements.
  • 6 years of experience researching legal and other issues (manual/book and technical/computer).
  • 3 years of experience preparing board minutes and resolutions for attorney review.
  • 3 years of related word-processing, spreadsheet and related experience.
