About the position

The Senior Corporate Governance Specialist at First Business Bank plays a crucial role in supporting the corporate governance framework, board and committee meetings, regulatory compliance, and shareholder relations. This position requires collaboration with senior management and the board of directors in a dynamic environment, ensuring effective governance practices and compliance with regulatory requirements.

Responsibilities

  • Assist with a comprehensive range of governance and administrative tasks supporting the corporate governance function, including drafting resolutions, certifications, and maintaining corporate records.
  • Serve as a point of contact for board and governance-related communications and provide backup for the Director of Corporate Governance & Corporate Secretary as needed.
  • Conduct research and benchmarking on corporate governance practices.
  • Draft board and committee meeting agendas and coordinate with key stakeholders on meeting timelines and deliverables.
  • Prepare, review, assemble, and distribute board and committee meeting materials.
  • Serve as recording secretary for assigned board or committee meetings and provide backup for the Director of Corporate Governance & Corporate Secretary for other meetings as needed.
  • Assist in the preparation and filing of federal and state regulatory reports and SEC filings, including Form 8Ks and Forms 3, 4, 5, and 144.
  • Oversee the annual Directors and Officers questionnaire project and coordinate the collection and submission of materials for audits.
  • Support the preparation, production, and distribution of the annual proxy statement and respond to retail shareholder inquiries.

Requirements

  • A minimum of 3 years' experience supporting the corporate governance function and administrative oversight of board/committee processes within an in-house legal or governance department or equivalent experience at a law firm specializing in corporate governance.
  • Familiarity with corporate governance in the financial services sector or other highly regulated sector, with experience in SEC reporting for a public company preferred.
  • Exceptional writing, editing, and proofreading skills with meticulous attention to detail.
  • Effective collaborator with diverse stakeholders and cross-functional teams, with the ability to address needs proactively.
  • Strong time and project management skills, adept at handling multiple projects simultaneously and producing high-quality results in a fast-paced environment.
  • Operate independently with a solution-oriented mindset, demonstrating task ownership, critical thinking, and strong decision-making skills.
