About the position

As a Senior Corporate Paralegal - Corporate Governance and IP at Heartland Dental, you will play a crucial role in our in-house legal department, which is known for its fast-paced and dynamic environment. This position primarily allows for remote work, but you may occasionally need to attend meetings in Effingham, IL or Creve Coeur, MO for onboarding, training, team offsites, and company events. Your responsibilities will include drafting and revising corporate governance documents such as articles, bylaws, operating agreements, minutes, and resolutions. You will also maintain entity and matter management databases, prepare organizational charts and reports, and ensure the accuracy and completeness of corporate records. In addition to these tasks, you will support the management of state service mark filings and assist with various intellectual property processes. Your role will involve preparing and maintaining corporate and regulatory filings, conducting legal research on corporate governance matters, intellectual property laws, and regulatory requirements. You will respond to inquiries regarding corporate data or historical information, support option administration, and provide due diligence and corporate transaction support. A key aspect of your position will be identifying and implementing improvements to current workflows, ensuring that the legal department operates efficiently and effectively. Responsibilities

  • Draft and revise corporate governance documents, including articles, bylaws/operating agreements, minutes, resolutions, and other documents to support the formation, maintenance, and dissolution of business entities.
  • Maintain entity and matter management databases.
  • Prepare organizational charts and reports.
  • Organize and maintain corporate records to ensure accuracy and completeness.
  • Support the management of state service mark filings and support other IP processes.
  • Assist with the preparation and maintenance of various corporate and regulatory filings.
  • Conduct legal research on corporate governance matters, intellectual property laws, and regulatory requirements.
  • Respond to inquiries regarding corporate data or historical information.
  • Support option administration.
  • Provide due diligence and corporate transactions support.
  • Identify and implement improvements to current workflows.

Requirements

  • Associate's degree required or, in lieu of an associate's degree, 2+ years of paralegal experience required.
  • 4+ years of experience in a corporate legal department, law firm, or related experience.
  • Working knowledge of corporate governance principles, company subsidiary structures, and IP practices.
  • Significant experience with entity management, including entity formation, regulatory filings, and corporate actions.
  • Experience and mastery with Microsoft 365 business apps and services: Outlook, Word, PowerPoint, Excel, SharePoint, etc.
  • Ability to prioritize, organize, and manage work independently.
  • Ability to maintain proprietary, trade secret, and confidential information.
  • Strong verbal and written communication skills, with high level of maturity, personal initiative, and sound judgment.
  • Ability to thrive in a fast-paced, deadline-driven environment with a strong focus on collaboration.
  • Ability to occasionally join meetings in the Effingham, IL or Creve Coeur, MO office for onboarding, training, team offsites, company events, etc.
  • Adequate internet service and confidential/private/dedicated workspace for remote work.
