As the Senior Corporate Paralegal, you will play a crucial role in supporting company attorneys and the Senior Director of Legal Services throughout all stages of corporate transactions. Your responsibilities will include the preparation of legal and business documents necessary to ensure compliance with federal, state, and local regulations in the conduct of business activities. You will assist in forming, maintaining, and dissolving various types of legal entities, as well as handling mergers and acquisitions, commercial transactions, intellectual property matters, real estate transactions, and government relations. Your role will also involve conducting thorough research from legal sources, including statutes, recorded judicial decisions, legal articles, treaties, constitutions, and legal codes. You will be responsible for drafting legal and contractual documents and performing related administrative duties to support these activities. This includes preparing agreements, instruments, documents, and pleadings related to both litigation and non-litigation matters. In this position, you will prepare proforma agreements and transactional documents, such as Consulting Agreements, Delegations of Authority, Non-Disclosure Agreements, and Powers of Attorney. You will perform sensitive and confidential tasks, including conducting internal investigations and updating significant litigation matters in the LawTrac system to track caseloads, assignments, and deadlines. Additionally, you will assist with corporate governance maintenance, including the preparation of legal documents, tracking and filing annual reports and business licenses, and providing corporate secretarial support. You will coordinate due diligence and vetting requirements with third-party business candidates and assist Finance and other business support functions with corporate information and the opening of new bank accounts. Your responsibilities will also include supporting domestic qualifications and foreign business registrations, tracking and renewing documents, and ensuring legalization/authentication for use in foreign countries. You will draft minutes, resolutions, and other governance documents, and perform various administrative duties such as preparing PowerPoint presentations, Excel spreadsheets, and scheduling meetings. Furthermore, you will assist in processing legal invoices and preparing budget information.
