About the position

Hexcel seeks a Senior Corporate Paralegal to support the Law Department for our Stamford, CT location. This person must be exceedingly well organized, flexible and enjoy the challenges of supporting a corporate legal department. The ability to interact with staff globally (at all levels and in different functions) in a fast-paced environment, sometimes under pressure, remaining flexible, proactive, resourceful and efficient, with a high level of professionalism and confidentiality is crucial to this role.

Responsibilities

  • Responsible for timing and execution against annual corporate governance calendar to ensure required SEC, NYSE and other filing and notice requirements are met.
  • Responsible for minutes, board resolutions, agendas and meeting calendars for Hexcel board and committee meetings, and other meeting preparation, as well as distribution of materials to attendees.
  • Own preparation and filing of Section 16 filings (Forms 3, 4 and 5), D&O questionnaires and compliance filings with the NYSE, and supports preparation of annual proxy statement.
  • Own subsidiary management to ensure that Hexcel's domestic and international subsidiaries comply with various legal requirements.
  • Manage information requests from external auditors in connection with quarterly audits and SEC filings.
  • Responsible for organizing Hexcel's annual meeting of stockholders, including preparing meeting materials, coordinating voting reports and managing the calendar of events for the annual meeting.
  • Manage Hexcel's securities trading policy, including preparation and maintenance of trading window calendar, processing of trading clearance requests and distribution of quarterly trading window and restricted insider designation notices.
  • Support activities related to professional services firm for implementation of company-wide training programs.
  • Compose/run periodic and ad hoc compliance reports, prepare compliance reports for presentation, maintain and update various compliance databases, and update compliance training records.
  • Support the preparation for and closing of corporate transactions, including M&A, tax and financing transactions.
  • Support intake, management and disposition of complaints to the Ethics and Compliance hotline and provide support to program directors and investigators.

Requirements

  • Bachelor's degree required
  • Paralegal certificate or equivalent work experience
  • 5+ years' experience working as a corporate paralegal at in-house legal department and/or law firm (in-house department of a public company preferred)
  • Strong knowledge of MS Office, including Word, Excel, PowerPoint and Outlook
  • Excellent organizational skills, including experience creating and maintaining filing systems
  • Outstanding verbal and written communication skills
  • Superior attention to detail
  • Self-motivated and flexible; adept at managing multiple workstreams
  • Experience with '34 Act (including Section 16) and U.S. public company board governance, such as NYSE listing standards, director independence standards, corporate governance guidelines, etc. preferred
  • Current Connecticut notary public license preferred
