About the position

Zurich North America has an outstanding opportunity for a talented Corporate Paralegal to serve on our Corporate, Transactions & Governance Team within our prestigious Corporate Law department located out of our North American headquarters in Schaumburg, IL. Under the supervision of an attorney, the Corporate Paralegal provides governance and legal support such as drafting resolutions, Board and Board committee meeting minutes and agendas, and performing legal and documentary research. The Paralegal will also have significant experience with legal entity management, including forming, dissolving and administering subsidiary companies. Experience may also include performing corporate bookkeeping and records management for both a holding company and its subsidiaries, which is essential to this role. The Corporate Paralegal will also review and interpret bylaws, charters, policies, procedures and protocols. This position will also provide legal support in the areas of drafting legal documents, researching state laws and regulations, and providing correspondence of basic complexity. A proactive disposition and a high level of attention to detail are both essential for the successful candidate.

Responsibilities

  • Draft resolutions, Board and Board committee meeting minutes and agendas.
  • Perform legal and documentary research.
  • Manage legal entities, including forming, dissolving, and administering subsidiary companies.
  • Conduct corporate bookkeeping and records management for a holding company and its subsidiaries.
  • Review and interpret bylaws, charters, policies, procedures, and protocols.
  • Draft legal documents and correspondence of basic complexity.
  • Research state laws and regulations.

Requirements

  • Associate Degree and 2 or more years of experience in the Legal or Legal Support area OR Zurich Certified Insurance Apprentice including an Associate Degree and 2 or more years of experience in the Legal or Legal Support area.
  • Experience conducting electronic database research.
  • Experience drafting legal documents, correspondence, and/or pleadings.

Nice-to-haves

  • Bachelor's degree.
  • Insurance industry experience, including familiarity with insurance-related research.
  • Ability to effectively conduct electronic database research, including WestLaw.
  • Effective written and verbal communication; ability to summarize information clearly and concisely.
  • Excellent computer skills, including MS OneDrive and Microsoft Office (Word, Excel, PowerPoint).
  • Ability to effectively organize, prioritize, and meet deadlines for multiple, simultaneous projects.
  • Demonstrated ability to successfully work independently as well as within a team.
  • High level of attention to detail.
