About the position

Nexamp is looking to hire a Senior Corporate Paralegal to support its Legal team in administering projects through construction, financing, and achieving commercial operation. This role involves collaboration with attorneys and team members across various business units as part of a growing Legal team that is dedicated and supportive of each team member and passionate about the mission of addressing climate change. The position is based in Chicago, IL, and requires in-office attendance 2-3 days per week, reporting directly to the General Counsel.

Responsibilities

  • Draft and file corporate organizational documents or dissolution documents, operating agreements, officer consents, prepare annual reports, and maintain the entity list and org chart.
  • Prepare and file FERC Form 556 filings and maintain the corporate docket list.
  • Coordinate with outside vendors regarding business license research and maintain the business license portal.
  • Manage the business license application process.
  • Organize and maintain internal data management and communication, including dataroom management.
  • Draft construction financing documents in preparation for signature and assist with other financing-related documents/duties as needed.
  • Prepare and coordinate execution of documentation for various projects, including assignment agreements and development and asset management-related agreements.
  • Work independently and as part of a team to develop and refine best practices for efficient transaction oversight.
  • Participate in regular update meetings with both the Legal and relevant commercial teams.

Requirements

  • Minimum 5 years of corporate paralegal experience, preferably in a large law firm setting.
  • Associate's degree or BA/BS.
  • IL Notary Public preferred.
  • Detail-oriented with the ability to manage multiple priorities with little supervision and excellent organizational skills.
  • Excellent communication (oral and written) and analytical skills required.
  • Desire to expand skills to include legal support.
  • Specific experience in renewable energy projects is preferred, but candidates without renewable energy experience are encouraged to apply.

  • Expertise in building strong internal and external relationships with customers and stakeholders.
