About the position

The Senior Counsel (Contracts) at Smith & Wesson is responsible for evaluating, preparing, and negotiating a wide range of contracts, with a strong focus on information technology agreements. This role serves as the primary legal resource for the company, particularly in matters related to cybersecurity and privacy, while also managing real property leases and providing legal guidance on compliance issues. The position requires a proactive approach in a fast-paced environment, ensuring that the company's legal interests are protected while supporting business objectives.

Responsibilities

  • Draft, review, negotiate and prepare commercial contracts, including supply/purchase agreements, sale/distribution agreements, and vendor agreements, with a focus on information technology contracts.
  • Lead efforts involving informal contract dispute resolution and settlement negotiations.
  • Maintain and update existing contract templates and develop contract management best practices.
  • Serve as the internal legal resource for cybersecurity and privacy matters, working closely with the IT department.
  • Manage the Company's real property leases and assist on special projects.
  • Conduct internal training and provide legal guidance on compliance issues.
  • Provide legal advice on general business topics.
  • Manage external counsel as necessary.

Requirements

  • Law degree (Juris Doctor) from an accredited institution is required.
  • Admission in good standing to the TN Bar is preferred; at a minimum, admission as authorized in-house counsel in TN is required.
  • 2 to 7 years of experience in relevant areas, with a preference for in-house experience.
  • Familiarity with cybersecurity and privacy matters is a plus.
  • Excellent writing and verbal skills, along with superior organizational skills.
  • Strong interpersonal skills and ability to build relationships at all levels of the business.
  • Ability to work independently and manage substantial workflow in a fast-paced environment.
  • Strong business judgment and understanding of business issues.

Nice-to-haves

  • Experience managing a significant litigation portfolio is strongly preferred.
  • Experience with federal and state employment and benefits laws is preferred.
  • Firearm industry experience is not required, but a passion for the Second Amendment is important.
