About the position

The U.S. Bank Law Division is seeking an experienced paralegal to join the Capital Markets Legal Team, supporting the Global Capital Markets group within U.S. Bank's Wealth, Corporate, Commercial, and Institutional Banking business line. This role focuses on assisting the Credit Fixed Income unit, which is involved in corporate bond underwriting and secondary market trading. The paralegal will ensure legal protection for the broker-dealer by liaising with business lines, compliance, and outside legal counsel, while providing real-time updates to business partners. This position offers exposure to various securities and corporate finance legal issues and requires availability outside of normal working hours occasionally.

Responsibilities

  • Review underwriting agreements, offering documents, and related documentation for registered and 144A corporate bond offerings.
  • Become familiar with relevant U.S. Bank policies and procedures, including anti-money laundering and onboarding foreign investors.
  • Work closely with business lines and support partners to ensure continuous compliance with laws, regulations, and policies.
  • Review agreements with third-party providers of technology and other services.
  • Review agreements with institutional investor clients.
  • Review documentation for private placements.
  • Review securities repurchase and securities lending agreements.

Requirements

  • Paralegal certification from an accredited program, or equivalent degree or experience.
  • Eight to 12 years of relevant experience.
  • Strong analytical, organizational, and communication skills.
  • Strong commitment to client service.
  • Ability to work independently.
  • Ability to organize and manage a large volume of detailed tasks.
