About the position

Morgan, Lewis & Bockius LLP, one of the world's leading global law firms, is seeking an experienced Corporate Paralegal for our Investment Management Practice Group. This position is integral to various client teams, focusing on providing support for our Private Fund clients within the Investment Management practice area. The role is based in our New York office and offers a hybrid working schedule, allowing for both in-office and remote work. As a Senior Paralegal, you will perform a variety of tasks that range from basic to increasingly complex, all under the supervision of attorneys and with guidance from senior paralegals. Your responsibilities will include assisting attorneys with the formation of new entities, managing transfer processes for sales and purchases of interests in private funds, and participating in hedge fund and private equity fund launches. You will also draft and monitor subscription documents, maintain project timelines, and serve as the gatekeeper for ongoing projects, ensuring that they remain on track. In this role, you will interact with clients and team members to distribute draft documents for review and coordinate the receipt and reconciliation of client comments. You will compile closing documents, proofread various documents, and organize client records to ensure they are easily accessible. Over time, you will acquire knowledge of federal securities laws and legal concepts, applying this knowledge to contribute effectively to work products. Strong computer skills and proficiency with practice-specific technologies are essential, as is the ability to demonstrate good judgment and common sense in assessing alternatives and recommending solutions.

Responsibilities

  • Performs a variety of basic and increasingly complex work under the supervision of attorneys and with the guidance of supervisory or senior paralegals.
  • Demonstrates strong leadership and organizational skills to manage ongoing projects and assist attorneys in meeting project deadlines and client needs.
  • Assists attorneys with the formation of new entities (corporations, limited partnerships, limited liability companies, etc.) and related organizational matters (State filings, tax identification numbers (EINs), etc.).
  • Completes, coordinates, and manages transfer processes for sales and purchases of interests in private funds (including transfer documents, investor questionnaires, anti-money laundering and know-your-client packets, and more).
  • Participates in hedge fund and private equity fund launches and periodic fund raising.
  • Drafts, monitors and completes subscription documents.
  • Maintains project timelines and agendas, organizing materials and otherwise assisting with a variety of new and ongoing projects.
  • Serves as the 'gatekeeper' for ongoing projects, monitoring progress to ensure that projects remain on track and maintaining organized project files.
  • Interacts with clients and working team members to distribute draft documents for review and to coordinate receipt and reconciliation of client comments on distributions.
  • Coordinates signatures for contracts, including e-Signatures and DocuSign.
  • Compiles closing documents and post-closing records.
  • Proofreads various documents.
  • Organizes and maintains client records and files and makes client documents and files easily accessible for attorneys and working groups.
  • Acquires and grows knowledge of the federal securities laws and legal concepts and terminology and demonstrates the ability to apply such knowledge to daily tasks.
  • Applies solid computer skills and becomes proficient with practice-specific technologies.
  • Demonstrates good judgment, common sense, and ingenuity to apply knowledge to assess alternatives and to identify and recommend solutions.

Requirements

  • A Bachelor's degree from an accredited four-year college.
  • 3 to 6 years of transactional paralegal experience at a large law firm.
  • Strong leadership and organizational skills.
  • Strong attention to detail.
