We are currently seeking an experienced Legal Officer to join our Vistra Netherlands Real Estate team. This position requires a full-time commitment in the office, five days a week, and will involve collaboration with various teams including Legal Services, Financial Services, and Relationship Management. In this role, you will be integral to ensuring high client satisfaction by providing comprehensive support for a wide range of corporate services tailored to our international clientele. You will work closely with our Paralegal team, which plays a crucial role in supporting client processes across all business teams. Your contributions will be vital in maintaining the efficiency and effectiveness of our operations, ensuring that we meet our clients' needs promptly and accurately. As a Legal Officer, you will be responsible for a variety of tasks that include preparing and handling standardized resolutions and proxies, performing administrative tasks, and assisting with the preparation and review of legal documentation. You will also support the organization of meetings, manage client onboarding processes, and ensure compliance with regulatory requirements. This position is designed for someone who is detail-oriented, structured, and committed to delivering high-quality service to our clients.

Responsibilities

  • Prepare and handle standardized resolutions and proxies, including arranging wet ink/digital signatures.
  • Perform administrative tasks and assist with the preparation and review of (standardized) legal documentation and forms.
  • Support the organization of board and general meetings, including invites, drafting power of attorney, and preparing concept minutes.
  • Assist with the coordination and preparation of client onboarding documentation and ensure accurate setup of files and systems.
  • Support the liquidation process by coordinating, preparing, filing, and handling legal documentation and administrative tasks.
  • Monitor the internal outflow process and ensure compliance with deadlines.
  • Assist with the preparation of periodic regulatory compliance reviews and incidental compliance reviews.
  • Handle KYC requests and assist with regulatory reporting related to KYC, AML, FATCA, CRS, CBS, AIFMD, UBO, etc.
  • Ensure accurate administration and filing of documents, supporting other Service Delivery teams as needed.
  • Handle requests for certification, legalization, and apostille, as well as incoming and outgoing mail.

Requirements

  • Structured, detail-oriented individual with a strong focus on quality and client satisfaction.
  • Proven knowledge of Book 2 of the Dutch Civil Code (Dutch corporate law) preferred.
  • Sound knowledge of Microsoft Office applications.
  • 1-3 years of experience providing Legal Secretarial or Paralegal support in a corporate environment.
  • Experience in drafting minutes for meetings.
  • Excellent command of English, both verbal and written.
  • MBO4+ education, preferably in Legal.
