About the position

Wells Fargo is seeking a Senior Paralegal to join the Legal Department, focusing on Legal Entity Governance. This role involves providing specialized support within the Legal Department, requiring strong analytical, communication, and organizational skills. The Senior Paralegal will research and resolve complex legal issues, maintain corporate records, and collaborate with attorneys and external parties.

Responsibilities

  • Provide support to a specialized area within the Legal Department.
  • Research and resolve issues involving legal or factual complexity.
  • Provide substantiation for client inquiries, claims, disputes, and proceedings under attorney direction.
  • Present recommendations and develop specialized expertise.
  • Collaborate with Legal Department attorneys, outside counsel, and business lines.
  • Communicate with government entities as needed.
  • Identify underlying issues in area of expertise and work independently on complex assignments.
  • Maintain corporate records and minute books.
  • Organize and coordinate board/shareholding meetings, including preparation of agendas and meeting materials.
  • Draft board/shareholder resolutions and written consents.
  • Draft and file annual reports and support the filing process.
  • Obtain good standing certificates from various states.
  • Draft and file qualifications and withdrawal forms in foreign states and amendments to qualification registrations.
  • Administer and ensure the integrity of data in Wells Fargo's electronic global entity management system (GEMS).

Requirements

  • 4+ years of Paralegal experience or equivalent demonstrated through work experience, training, military experience, or education.
  • Ability to assist with mergers and acquisitions, incorporation, and organization of new entities.
  • Experience managing projects and risk control oversight.
  • Experience working with an in-house legal entities team in a large financial services company.
  • Understanding of Federal banking regulations and US state corporate law.
  • Strong research skills and excellent verbal and written communication skills.
  • Strong analytical skills with high attention to detail and accuracy.
  • Strong organizational, multi-tasking, and prioritizing skills.
  • Ability to work independently with minimal direct supervision.
  • Intermediate Microsoft Office skills.
