The Sr. Counsel - Real Estate & Commercial position at Kohler Co. involves providing legal support and guidance on corporate real estate transactions and commercial matters. The role requires a strategic partnership with the Corporate Real Estate team and involves negotiating and drafting various legal agreements to support the company's operations. The position also entails advising management on risks associated with agreements and aligning legal strategies with enterprise goals.

Responsibilities

• Serve as a strategic and legal partner to the Corporate Real Estate team.
• Support domestic and international greenfield expansions, land acquisitions, leases, and divestitures for all business units and corporate functions.
• Negotiate and draft lease agreements, subleases, and purchase and sale agreements.
• Lead real estate due diligence in support of enterprise M&A activity.
• Draft and negotiate construction-related agreements for facility buildout, expansion, or redesigns.
• Understand enterprise-wide real estate strategy to develop legal strategic plans and playbooks.
• Manage and update key templates as needed and provide training to the Corporate Real Estate team.
• Provide legal counsel on commercial matters to corporate functions and diverse international business groups.
• Negotiate and draft domestic and international commercial agreements including supply & purchase agreements, service agreements, development agreements, NDAs, and licensing agreements.
• Work with the Commercial Legal team and key business contacts to align on commercial agreement language and strategy.

Requirements

• Undergraduate and law (L.L.B. or J.D.) degree.
• Licensed to practice law in the State of Wisconsin or licensed in another state bar with ability to obtain Inhouse counsel status in Wisconsin.
• 5+ years' experience as a practicing lawyer working on real estate and commercial transactional matters either in private practice or with a corporate legal department.
