About the position

Our client, a leading Manufacturing company, is looking for an experienced Corporate Paralegal to join their dynamic team in Lake Forest, IL. The ideal candidate will have substantive experience in corporate governance/securities, and SEC involvement and will play a crucial role in the legal department's day-to-day operations. This position requires a deep understanding of SEC regulations and corporate governance, as well as the ability to manage complex projects and deadlines related to corporate transactional activities, including mergers & acquisitions. The Corporate Paralegal will be responsible for handling various issues related to SEC, corporate governance, corporate law, public company filings, and other related matters. In this role, you will prepare and maintain corporate records such as minutes from board meetings, annual reports, and company policy updates. You will assist with securities and corporate governance matters, including the drafting, editing, and filing of SEC documents such as forms 10-K, 10-Q, and 8-K. Additionally, you will coordinate and assist with company compliance issues, focusing particularly on SEC regulations and requirements. Conducting legal research and documentation analysis will also be part of your responsibilities, providing detailed reports when required. You will support in-house attorneys in drafting contracts, legal briefs, and other necessary legal documents, ensuring that all tasks are completed efficiently and accurately.

Responsibilities

  • Handle various issues related to SEC, corporate governance, corporate law, public company filings, and other related matters.
  • Prepare and maintain corporate records such as minutes from board meetings, annual reports, and company policy updates.
  • Assist with securities and corporate governance matters including the drafting, editing, and filing of SEC documents such as forms 10-K, 10-Q, and 8-K.

  • Conduct legal research and documentation analysis, providing detailed reports when required.

Requirements

  • 5 years of experience as a Corporate Paralegal in a legal department or law firm specializing in corporate governance, SEC regulations, and securities.
  • Holding a Bachelor's Degree or equivalent, with preference given to those with a Paralegal certification.
  • Deep understanding of SEC regulations and SEC filings.
  • Experience in managing Form 10-K, Form 10-Q, and Form 8-K.
  • Comprehensive knowledge in Corporate Governance.
  • Experience with SOX - Sarbanes-Oxley is preferred.
  • Capability to prepare Proxy Statements.
  • A strong understanding of the legal aspects of corporate operations and corporate governance.
  • Familiarity conducting legal research via LexisNexis and other software.
  • Demonstrated proficiency in using legal software and Microsoft Office Suite.
  • Proven ability to maintain confidentiality and handle sensitive information with discretion.
  • Excellent organizational skills capable of managing multiple projects simultaneously.
  • Superior written and verbal communication skills.
  • Ability to work efficiently, both independently and as part of a team.

Nice-to-haves

  • Experience with SOX - Sarbanes-Oxley is preferred.
