About the position

The Sr. Paralegal position at Lumeris is a critical role that partners with the Legal team to provide a wide range of legal support and administration to the company's lawyers. This includes responding to requests from outside counsel and creating essential documents related to new corporate entity formations, such as articles of incorporation, dissolution documents, stock certificates, and merger agreements. The role also involves supporting the review of governance structures, assessing corporate documents, and managing corporate data effectively. In this position, the Sr. Paralegal will assist in the preparation, review, and revision of various types of contracts. This includes conducting thorough research on legal issues, existing contracts, and relevant regulations. The individual will handle the entire contract process, ensuring proper filing and organization of contracts, while also communicating and collaborating with both internal stakeholders and external parties involved in the contracting process. Additionally, the role requires assisting in the development of internal guidelines and toolkits on contract issues for the wider organization, administering legal processes associated with contract databases, and providing support during contract negotiations. The Sr. Paralegal will also be responsible for extracting key information from contracts, summarizing and documenting this information, and assisting with dispute resolutions related to contracts. Monitoring and managing contract execution and renewals, as well as disseminating contract obligations to relevant team members, are also key responsibilities. Furthermore, the role includes providing litigation support by gathering information and documents in response to discovery requests, preparing and reviewing documentation and pleadings for litigation, and interacting with outside counsel on discovery issues and litigation status. The individual will conduct research on case-related factual issues and assist with the preparation, filing, and service of contracts and pleadings. Overall, the Sr. Paralegal will play a vital role in organizing and managing documents, coordinating the collection and production of documents, and completing legal assignments while tracking progress and providing status updates to ensure timely completion of tasks. This position is essential for maintaining the legal integrity and compliance of the organization, contributing to the overall success of Lumeris.

Responsibilities

  • Assist in the preparation, review, and revision of diverse types of contracts.
  • Conduct research on legal issues, existing contracts, and regulations related to the contracts being drafted.
  • Handle contract process, filing, and organization of contracts.
  • Communicate and collaborate with internal stakeholders and external parties involved in the contracting process.
  • Assist in the development of internal guidelines, toolkits, and packaged knowledge on contract issues for the wider organization.
  • Administer the legal-involved process associated with contract databases and management systems.
  • Provide support during contract negotiations.
  • Extract key information from contracts, summarizing and documenting such information.
  • Assist with dispute resolutions related to contracts.
  • Monitor and manage contract execution and renewals, disseminating contract obligations as necessary to the relevant key team members.
  • Provide litigation support, including gathering information and documents in response to discovery requests and responding to subpoenas.
  • Organize and maintain investigation and litigation-related files.
  • Prepare and review documentation and pleadings for litigation, disputes, and other matters.
  • Interact with outside counsel on discovery issues and litigation status.
  • Research case-related factual issues using in-house files and outside reference sources, such as laws, regulations, and legal decisions and articles.
  • Assist with the preparation, filing, and service of contracts, filings, and pleadings.
  • Interview clients, witnesses, and experts.
  • Act as a liaison among all parties for scheduling and sharing information.
  • Organize and manage documents, including creating spreadsheets and retrieval systems.
  • Coordinate the collection, review, and production of documents and respond to discovery requests.
  • Complete legal assignments and guide projects as assigned, including tracking progress and providing status updates to ensure timely completion.

Requirements

  • Four-year degree in a related field or equivalent (Paralegal Certificate desired).
  • 5+ years of experience or the knowledge, skills, and abilities to succeed in the role.
  • 2+ years of experience with entity management lifecycle including annual compliance and event-driven activities.
  • Experience with legal technology and its application in contract lifecycle management.
  • Highly effective communication skills with the ability to relate effectively with internal and external constituencies.
  • Proven ability to operate in a collaborative, shared leadership environment.
  • Strong research, analytical, planning, organizing, and critical thinking skills.
  • Effective time management and information monitoring skills.
  • Ability to manage multiple requests and tasks while maintaining attention to detail and accuracy.
