About the position

Omeros is seeking a Senior Paralegal to join our dynamic Legal Team. This role is pivotal in the preparation, negotiation, and administration of the Company's legal agreements. As a Senior Paralegal, you will utilize your independent judgment to draft standard agreements based on the Company's templates, including non-disclosure agreements, master service agreements, consulting agreements, material transfer agreements, SaaS agreements, and related amendments and appendices. You will also customize agreement templates as needed to meet specific requirements. In this position, you will review legal provisions in vendor service terms, proposals, and statements of work, particularly those related to scientific and laboratory services and clinical trials. You will be responsible for reviewing proposed agreements from third parties and their revisions, escalating issues as necessary for review by the Company's attorneys. Additionally, you will assist the Company's attorneys in updating agreement templates and maintaining an alternate clause library. Your role will involve providing guidance to Company stakeholders on corporate contracting processes and fallback negotiating positions established for routine contract provisions. You will review agreements to provide information to the Company's attorneys and other staff related to agreement administration, including milestone requirements and reporting obligations. Drafting contract-related notices and other correspondence will also be part of your responsibilities. Collaboration is key in this role, as you will work closely with paralegal and attorney colleagues to input contracts and contract provisions into the contract lifecycle management (CLM) system, ensuring accuracy and completeness. You will handle material that is often critical or confidential and interact with employees at all organizational levels to gather and synthesize information. Preparing, editing, and proofreading documents, reports, and presentations will also be essential tasks in your daily activities.

Responsibilities

  • Draft standard agreements based on the Company's templates, including non-disclosure agreements, master service agreements, consulting agreements, material transfer agreements, SaaS agreements, and related amendments and appendices.
  • Review legal provisions in vendor service terms, proposals, and statements of work, particularly those related to scientific and laboratory services and clinical trials.
  • Review proposed agreements from third parties and their revisions, escalating issues as necessary for review by the Company's attorneys.
  • Assist the Company's attorneys with updating agreement templates and maintaining an alternate clause library.

Requirements

  • AA degree or paralegal certificate and a minimum of 10 years of legal contract drafting and negotiation experience, OR BA/BS degree and a minimum of 5 years of legal contract drafting and negotiation, OR equivalent combination of education and work experience.
  • Strong computer skills required in applications used in general office settings including word processing, spreadsheet, database management, presentation software, and Internet search engines.
  • CLM system experience is a plus.
  • Strong organizational skills and attention to detail; ability to spot issues and problematic contract provisions.
  • Demonstrated ability to prioritize and handle multiple tasks and projects concurrently in a fast-paced environment.
  • Must be capable of working with limited supervision, exercising independent judgment; able to escalate issues to Company's attorneys when appropriate.
  • Excellent verbal and written communication skills.
  • Excellent grammatical and proofreading skills.
  • Requires good interpersonal skills.
  • Must represent Omeros in a professional manner.
