About the position

RSM US LLP is seeking a dynamic M&A/Financial Instruments Tax Senior Manager to join our national Mergers and Acquisitions (M&A) Tax practice. This role is part of a rapidly growing consulting practice that offers significant advancement opportunities. As a member of our M&A Tax team, you will play a critical role in providing advice to clients and firm personnel on various tax aspects related to financial instruments, corporate tax, and M&A transactions. You will have the opportunity to advise on a wide range of issues, including recapitalization, restructuring and bankruptcy transactions, classification, sales, and exchanges of financial instruments, deductibility of interest, and hedging transactions. In this position, you will work as part of a multi-disciplinary team focused on delivering due diligence and tax structuring services. You will be responsible for identifying and developing high-value tax opportunities for our clients, assisting them with financial instrument and related M&A tax issues. You will also be involved in planning, managing, and executing advice engagements with limited supervision, while developing, motivating, and training team members. This role requires a strong understanding of federal tax regulations and the ability to apply this knowledge in a practical setting to benefit our clients.

Responsibilities

  • Work as part of a multi-disciplinary team that focuses on delivering due diligence and tax structuring services, and communicates findings and opportunities to clients.
  • Identify and develop high value tax opportunities for our clients.
  • Assist clients on a range of financial instrument and related M&A tax issues such as recapitalization, restructuring and bankruptcy transactions, classification, sales, and exchanges of financial instruments, deductibility of interest, and hedging transactions.
  • Plan, manage, and execute on advice engagements with limited supervision.
  • Develop, motivate, and train team members.

Requirements

  • Requires a minimum of a Bachelor's Degree from an accredited college/university.
  • Requires a minimum of eight (8) years of federal tax with financial instruments and/or mergers and acquisition experience in a public accounting firm, a corporate tax department, or a law firm or comparable experience.
  • Requires one of the following: Active CPA, EA or JD.
  • Knowledge of a broad range of financial instruments and/or corporate tax matters in various industries.
  • Project management and critical thinking skills.
  • Excellent research and writing skills.

Nice-to-haves

  • Master's Degree in Accounting, Taxation or related field.
  • Experience with a national or large regional accounting firm.
