About the position

The Corporate Records Program Manager at Texas Health Resources is responsible for serving as the primary governance liaison to trustees and senior management of assigned entities. This role involves managing the governance process, including drafting minutes for board and committee meetings, ensuring accurate record-keeping, and coordinating with various stakeholders to maintain compliance with regulatory requirements. The position offers a hybrid work environment with family-friendly hours and opportunities for professional growth.

Responsibilities

  • Serve as the primary governance liaison to trustees and senior management of assigned entities.
  • Attend assigned board and committee meetings throughout North Texas and draft minutes for those meetings.
  • Manage the process from draft to signature for meeting minutes, ensuring tight deadlines and coordination with attorneys and senior leadership.
  • Oversee accurate record-keeping of meetings, including key points, action items, and attendance records.
  • Manage the development and coordination of written consents for boards/committees of wholly controlled joint ventures and for-profit organizations.
  • Draft and coordinate resolutions for assigned boards/committees, involving coordination with system leadership and attorneys.
  • Prepare agenda packets for boards/committees, ensuring compliance with regulatory, licensing, and accreditation requirements.
  • Draft and file necessary documents for boards/committees, including certificates of formation and bylaws.
  • Coordinate record management of all corporate records for assigned entities, including bylaws, minutes, and resolutions.
  • Respond to requests for information from various system leaders, maintaining the organizational structure of all entities.

Requirements

  • Bachelor's Degree in Business, Healthcare, or a related field.
  • 7 years of corporate, legal, or nonprofit governance experience, with 2 years in the healthcare industry.
  • Experience managing and drafting board minutes and resolutions.
