About the position

Heelstone is seeking a Transactional Paralegal to provide essential support for project finance and M&A transactions. This role involves maintaining organization across multiple transactions, communicating updates to stakeholders, and coordinating with outside legal counsel and service providers. The ideal candidate will be proactive, detail-oriented, and capable of synthesizing information effectively.

Responsibilities

  • Assist with all phases of various corporate transactions, including corporate and project financings and M&A transactions.
  • Coordinate diligence efforts on both project finance and M&A transactions, working closely with the company's finance and development teams.
  • Prepare and manage checklists for ongoing transaction obligations.
  • Prepare and compile documents in connection with closings and fundings, such as certificates and resolutions, construction draws and other applicable documents.
  • Assist attorneys with drafting and proofreading transaction documents.
  • Order and review lien searches, summarize results in a clear and concise manner, and flag any matters to be reviewed by attorneys.
  • Organize and manage datarooms and internal files consistent with document management policies of the Company.
  • Implement best practices and procedures to improve efficiency.
  • Proactively keep deal team and other stakeholders informed of closing matters, project status and key deadlines.
  • Coordinate work product with outside service providers and distribute draft document to outside legal counsel, as needed, to support the deal team.

Requirements

  • 2+ years of paralegal experience in a large law-firm or in-house legal department.
  • Prior experience in transactional paralegal work, project finance preferred.
  • Ability to support in drafting and follow-up of correspondence with stakeholders.
  • High level of accuracy, attention to detail and excellent proofreading skills.
  • Self-starter with ability to manage matters from commencement to final resolution.
  • Strong organization and matter management skills.
  • Excellent written and verbal communication skills.
  • Ability to work effectively and collaboratively with others as part of a team.
  • Ability to manage various third-parties and professionally follow-up on key items to get to a closing.
  • Strong sense of accountability, taking ownership over projects and responsibilities and resolving issues proactively.
  • Ability to work concurrently on a variety of projects, prioritize efforts, and work effectively under pressure.

Nice-to-haves

  • Experience working with Datarooms such as Box, DropBox and SharePoint.
