About the position

Avenue Living Asset Management is seeking a U.S. Corporate Paralegal to support corporate services activities for our U.S. entities and assist our U.S. real estate team in acquisition and financing transactions. This role is pivotal in ensuring the accuracy and compliance of corporate documentation and filings for multiple U.S. entities. The successful candidate will report to the Associate General Counsel, Corporate and Securities, and will be responsible for leading the preparation of complex corporate legal documents, including formation, organization, and annual maintenance documents for U.S. entities such as corporations, limited liability companies (LLCs), and limited partnerships formed in Delaware. The paralegal will also ensure the timely filing of all federal and state filings required for maintaining these entities, as well as prepare closing documents and order certificates of good standing for real estate transactions under the supervision of our real estate lawyers. In addition to document preparation, the U.S. Corporate Paralegal will assist the U.S. real estate team in conducting title searches and other due diligence activities. This role requires resolving daily inquiries from business units, providing expert guidance, and handling complex day-to-day corporate matters. The paralegal will also provide advanced corporate support to the accounting team during external audits, ensuring compliance and accuracy in corporate documentation. Furthermore, the position involves offering senior-level support to corporate lawyers, real estate lawyers, and other team members, including mentoring junior paralegals and legal assistants while providing strategic advice. The ideal candidate will have a minimum of 5-7 years of experience as a corporate paralegal, with a strong background in handling complex corporate legal matters for U.S. entities. A paralegal certificate or equivalent education is required, with additional legal education or certifications preferred. Exceptional organizational and time-management skills, attention to detail, proficiency in legal research and drafting, and strong communication and interpersonal skills are essential for success in this role. In-depth knowledge of U.S. corporate law, including compliance requirements and regulatory frameworks, is also necessary, along with proficiency in using legal software and tools for document management and corporate record maintenance.

Responsibilities

  • Lead the preparation of complex corporate legal documents for U.S. entities.
  • Ensure the accuracy and timely updating of minute books and corporate records for multiple U.S. entities using ALF Corporate.
  • Ensure the timely filing of all federal and state filings required for maintaining multiple U.S. entities.
  • Prepare closing documents and order certificates of good standing for U.S. entities for real estate transactions.
  • Assist the U.S. real estate team in conducting title searches and other due diligence activities.
  • Resolve daily inquiries from business units, providing expert guidance and handling complex day-to-day corporate matters.
  • Provide advanced corporate support to the accounting team during external audits, ensuring compliance and accuracy in corporate documentation.
  • Offer senior-level support to corporate lawyers, real estate lawyers, and other team members, including mentoring junior paralegals and legal assistants.

Requirements

  • Minimum of 5-7 years of experience as a corporate paralegal, with a strong background in handling complex corporate legal matters for U.S. entities.
