About the position

Foley & Lardner LLP is seeking an Emerging Growth and Venture Capital Paralegal to assist clients and attorneys in the Business Law Department. This role involves supporting corporate and entity formations, venture capital financing, and various transactional activities. The paralegal will be responsible for preparing and overseeing transactional documents, managing client relationships, and ensuring compliance throughout business transactions.

Responsibilities

  • Drafting, reviewing and filing corporate and transactional documents including state forms and filings, entity formations, resolutions, consents, agreements, certificates, merger documents.
  • Preparing and assisting with stock ledgers, capitalization tables and option records, blue sky filings, and related documentation.
  • Supporting attorneys and clients throughout all phases of corporate, venture financings and M&A transactions.
  • Assisting with corporate and public company governance, overseeing and maintaining corporate records.
  • Conducting due diligence, ordering certified documents, conducting lien searches and summaries, and searches across public records.
  • Providing project management with transaction closings, drafting and updating checklists, organizing closing duties, signatures and closing sets, and post-closing matters.
  • Developing and maintaining working relationships with clients to ensure expeditious organization of facts and information.

Requirements

  • High School Diploma or GED required; Bachelor's Degree strongly preferred.
  • Paralegal Certificate required per state law.
  • Minimum of two (2) years of corporate paralegal experience required.
  • Interest in emerging growth, venture capital, technology, life science and clean energy transactions, state and government agencies, entity management and corporate maintenance, due diligence.
  • Ability to manage workload and timelines in a fast-paced environment, handling multiple deadlines as an integral member of client service teams to help achieve clients' business objectives.
  • Excellent analytical, writing and editing skills, high degree of accuracy and attention to detail.
  • Advanced proficiency with MS Excel, Word, Carta and web-based research.

Benefits

  • Salary range between $64,700 - $105,500 based on education, experience, geographic market, and internal pay equity.
