AI-Powered Tools. The Service includes features powered by artificial intelligence and machine learning technologies ("AI Features"), including but not limited to: resume optimization suggestions, cover letter generation, job matching recommendations, interview preparation assistance, and content analysis tools.

How We Use AI. When you use AI Features, your content (including resume text, job descriptions you save, and other inputs) is processed by our AI systems to generate suggestions, recommendations, and other outputs. This processing is necessary to provide the Service to you.

AI Training. We do not use your personal resume content, cover letters, or other identifiable career documents to train general-purpose AI models that would be used for other customers. We may use aggregated, de-identified usage patterns to improve our AI Features.

AI Limitations and Your Responsibilities. AI-GENERATED CONTENT IS PROVIDED FOR INFORMATIONAL AND ASSISTIVE PURPOSES ONLY. You acknowledge and agree that: (i) AI outputs may contain errors, inaccuracies, or content that is not suitable for your specific situation; (ii) You are solely responsible for reviewing, editing, and verifying all AI-generated content before using it in job applications, resumes, cover letters, or any other purpose; (iii) Teal does not guarantee that AI Features will produce content that is accurate, complete, appropriate for any particular job or employer, or free from bias; (iv) AI-generated content should not be relied upon as professional career counseling, legal advice, or guaranteed job search strategy; (v) Employment outcomes depend on many factors beyond the content of your application materials, and Teal makes no representations or warranties regarding employment outcomes.

Third-Party AI Providers. Teal may use third-party AI service providers to power certain AI Features. When your content is processed by these providers, it is subject to their applicable terms and privacy practices, which we have reviewed for compatibility with our Privacy Policy.

4. Your Data and Account

Your Content. You retain ownership of all content you create or upload to the Service ("Your Content"), including resumes, cover letters, job descriptions, notes, and other materials. DAMAGES CAP. TEAL'STOTAL LIABILITY OF ALL KINDS ARISING OUT OF OR RELATED TO THESE TERMS(INCLUDING WARRANTY CLAIMS), REGARDLESS OF THE FORUM AND REGARDLESS OF WHETHER ANY ACTION OR CLAIM IS BASED ON CONTRACT, TORT, OR OTHERWISE, WILL NOT EXCEED THE GREATER OF: (1) THE AMOUNT OF FEES PAID BY YOU TO TEAL DURING THE SIX MONTHS IMMEDIATELY PRECEDING THE CLAIM (DETERMINED AS OF THE DATE OF ANY FINAL JUDGMENT IN AN ACTION); OR (2) $100.

14. Dispute Resolution

Generally. In the interest of resolving disputes between you and Teal in the most expedient and cost-effective manner, you and Teal agree that any dispute arising out of or in any way related to these Terms or your use of the Service will be resolved by binding arbitration. Arbitration uses a neutral arbitrator instead of a judge or jury and can be subject to very limited review by courts. Arbitrators can award the same damages and relief that a court can award. This agreement to arbitrate disputes includes all claims arising out of or in any way related to these Terms or your use of the Service, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, and regardless of whether a claim arises during or after the expiration or termination of theseTerms.

YOU UNDERSTAND AND AGREE THAT,BY ENTERING INTO THESE TERMS, YOU AND TEAL ARE EACH WAIVING THE RIGHT TO ATRIAL BY JURY OR TO PARTICIPATE IN A CLASS OR COLLECTIVE ACTION. YOU FURTHER UNDERSTAND THAT THESE DISPUTE RESOLUTION TERMS WILL APPLY TO YOU AND TEAL UNLESS YOU CHOOSE TO OPT OUT PURSUANT TO THE OPT OUT SECTION BELOW.

Exceptions. Despite the provisions above, nothing in these Terms will be deemed to waive, preclude, or otherwise limit the right of either party to: (1) bring an individual action in small claims court; (2) bring an action in a court pursuant to the California Private Attorneys General Act of 2004, California Labor Code Section 2698 et seq.; (3) seek injunctive relief in a court of law; or (4) file suit in a court of law to address an intellectual property infringement claim.

Arbitrator. Any arbitration between you and Teal will be governed by the Federal Arbitration Act, and governed by the Commercial Dispute Resolution Procedures and the Supplementary Procedures for Consumer Related Disputes (collectively, "AAA Rules") of the American Arbitration Association ("AAA"), as modified by these Terms, and will be administered by the AAA. The AAA Rules and filing forms are available online at www.adr.org, by calling the AAA at 1-800-778-7879, or by contacting Teal.

Notice; Process. A party who intends to seek arbitration must first send a written notice of the dispute to the other party within the applicable statute of limitations period ("Notice"). Teal's email address for Notice is [email protected]. The Notice must: (1)describe the nature and basis of the claim or dispute; (2) set forth the specific relief sought; and (3) if you are sending the Notice to Teal, include your name and address ("Demand"). The parties will make good faith efforts to resolve the claim directly, but if the parties do not reach an agreement to do so within 45 days after the Notice is received, you or Teal may commence an arbitration proceeding.

Fees; Location. If you commence arbitration in accordance with these Terms, Teal will reimburse you for your payment of the filing fee, unless your claim is for more than $15,000 or as set forth below, in which case the payment of any fees will be decided by the AAA Rules. Any arbitration hearing will take place at a location to be agreed upon in Miami, Florida, but if the claim is for $15,000 or less, you may choose whether the arbitration will be conducted: (1) solely on the basis of documents submitted to the arbitrator; (2) through a non-appearance based telephone hearing; or (3) by an in-person hearing as established by the AAA Rules in the county (or parish) of your billing address.

No Class Actions. YOUAND TEAL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING (OTHER THAN ACTIONS UNDER THE CALIFORNIA PRIVATE ATTORNEYS GENERAL ACT OF 2004, CALIFORNIA LABOR CODE SECTION 2698 ETSEQ. WHICH ARE NOT COVERED BY THIS SECTION). Unless both you and Teal agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

Modifications to this Arbitration Provision. If Teal makes any future change to this arbitration provision, other than a change to Teal's address for Notice, you may reject the change by sending us written notice within 30 days of the change to Teal's address for Notice, in which case this arbitration provision, as in effect immediately prior to the changes you rejected, will continue to govern any disputes between you and Teal.

Enforceability. If theNo Class Actions section is found to be unenforceable or if the entirety of this Dispute Resolution section is found to be unenforceable, then the entirety of this Dispute Resolution section will be null and void and the exclusive jurisdiction and venue described in the Governing Law section will govern any action arising out of or related to these Terms or your use of the Service.

Opt Out. Arbitration is not a mandatory condition of these Terms. If you do not want to be subject to this Dispute Resolution section, you may opt out by notifying Teal in writing of your decision by sending, within 30 days of the date you receive these Terms, an email to [email protected], stating clearly your full name, address, and intent to opt out of this Dispute Resolution section. Should you choose not to opt out within the 30-day period, you and Teal will be bound by the terms of this Dispute Resolution section. You have the right to consult with counsel of your choice concerning this section.

15. Miscellaneous

Governing Law. These Terms are governed by Delaware law without reference to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods will not apply to these Terms. Subject to the Dispute Resolution section, all claims arising under these Terms will be litigated exclusively in the federal or state courts of Delaware. The parties submit to the jurisdiction in those courts. In any proceeding to enforce rights under these Terms, the prevailing party will be entitled to recover costs and attorneys' fees.

Assignment. You may not assign these Terms or delegate your performance without Teal's prior written consent, and any attempt to do so is void. Teal may assign or transfer these Terms without your consent. These Terms are binding upon and inure to the benefit of the parties' permitted successors and assigns.

Severability. If any provision of these Terms or portion of a provision is invalid, illegal, or unenforceable, the rest of these Terms will remain in effect.

No Waiver. Neither party will be treated as having waived any rights by not exercising (or delaying the exercise of) any rights under these Terms.

Entire Agreement. TheseTerms constitute the entire agreement and supersede any other agreement of the parties relating to their subject matter.

No Third-Party Beneficiaries. There are no third-party beneficiaries of these Terms, except as described in the Notice Regarding Apple section.

Notices. All notices under these Terms must be in writing, and will be considered given: (1) upon delivery, if delivered personally or by internationally recognized courier service; (2) three business days after being sent, if delivered by U.S. registered or certified mail (return receipt requested); or (3) upon acknowledgement of receipt, if delivered by email. All notices to Teal will be sent to [email protected].

Force Majeure. Teal will not be liable for any delay or failure to perform under these Terms as a result of any cause or condition beyond Teal's reasonable control (a "Force Majeure Event"), so long as Teal uses reasonable efforts to avoid or remove those causes of delay or non-performance.
